These Terms of Use (“Terms”) govern access to and use of courses.nursewellbeingmission.com and related services provided by Nurse Wellbeing Mission Ltd (“NWM”, “we”, “us”, “our”). By creating an account or using the Website you agree to these Terms. If you do not agree, do not use the Website.

1. Definitions
Account: your credentials and profile to access the Services.
Content: text, graphics, videos, audio, software, data and materials on or delivered via the Services.
Courses: our online learning (e.g., The Empowered Nurse Toolkit, Perspective Tool Masterclass, Empatheum™ modules).
Empatheum™: NWM’s subscription environment with reflective learning, live sessions and community features (see §6).
Facilities / System: our online tools, forums, messaging and live-session infrastructure.
Organisation Customer: an employer, NHS Trust, ICB, university or similar purchasing access for Participants.
Participant: an individual end user (self-funded or provided by an Organisation Customer).
Seat / Licence: time-limited access rights for a named Participant.
Personal Data: has the meaning in UK GDPR.
DPA: a data processing agreement between NWM and an Organisation Customer where NWM acts as a Processor.
Privacy Policy: our detailed privacy notice at [insert URL].
Cookie Policy: our cookies & tracking notice at [insert URL].
2. Age & Purpose
Services are for adults (18+). They are educational and not therapy, counselling or medical care. In a crisis call 999 or use appropriate services.
3. Contract Stack (Individuals & Organisations)
These Terms apply to all users. For Organisation Customers, these Terms operate with the signed Order Form/MSA and DPA (if applicable). If there is a direct conflict, the signed MSA/Order prevails for that Organisation; otherwise these Terms apply.
4. Accounts & Access
4.1 Provide accurate information and keep it updated. Do not share your login. We may audit access to prevent unauthorised sharing.
4.2 We may suspend/terminate access for breach, non-payment, security or safety risks.
4.3 Inactivity: Accounts inactive for 12 months may be deleted with associated Personal Data, subject to lawful retention.
4.4 If your access is funded by an Organisation Customer, access may end when their contract or your employment/enrolment ends.
5. Intellectual Property
5.1 The Services and Content are owned by NWM or our licensors and protected by law.
5.2 We grant a limited, non-exclusive, non-transferable licence to access Content for your own professional development during your access period.
5.3 You must not copy, record, share, adapt, sublicense or commercially exploit Content without our prior written permission.
5.4 Third-party materials remain the property of their owners; UK fair-dealing exceptions may apply.
6. Empatheum™ – Specific Terms
6.1 Scope. Empatheum supports reflective learning and supervision skills. It is not a substitute for statutory clinical supervision, therapy, or medical advice.
6.2 Community Standards. Participants must follow our Community Standards (respect & inclusion; de-identify cases; no screenshots/recordings; no confidential employer materials). Breaches may lead to moderation, suspension or termination.
6.3 Live Sessions & Recordings. Some sessions may be recorded for quality, facilitator training or service delivery. We will state this on the booking page and at session start. You must not make your own recordings or screenshots. Recordings are stored securely and are not shared publicly.
6.4 Confidentiality & Safeguarding. We treat session/community disclosures as confidential except where (a) there is immediate risk to you/others; (b) safeguarding or patient-safety concerns arise; or (c) law requires disclosure. We may signpost/escalate concerns appropriately.
6.5 Seats & Cohorts (Organisation Customers). Seats are for named Participants and are non-transferable once activated, save for (i) early replacement within an agreed window; (ii) employment change; or (iii) health/parental leave—each by written agreement. Cohorts may run with fixed windows and grace periods.
6.6 Reporting to Organisations. Where contractually required, we may provide named participation data limited to enrolments, attendance and completion status. We do not share the content of reflections, posts, chats or what you say in sessions. Self-funded users are not included in named organisational reporting. We may share aggregated/anonymous insights to demonstrate impact.
7. Orders, Pricing & Availability
7.1 Your order is an offer; acceptance occurs on our confirmation email.
7.2 Prices may change prospectively; accepted orders are honoured at the shown price.
7.3 We may reasonably update/replace modules, schedules or formats and will notify materially adverse changes.
8. Consumer Cooling-Off (UK/EU)
8.1 Consumers have 14 days from confirmation to cancel unless digital services begin within that period at your request.
8.2 If you cancel after service starts, we may deduct a pro-rata amount for services provided. Refunds are processed within 14 days of notice.
9. Acceptable Use
You must not: (a) post unlawful/defamatory/discriminatory/abusive content; (b) impersonate others; (c) share patient/colleague identifiers or confidential employer materials; (d) upload malware; (e) spam; (f) attempt to bypass security or access others’ data; or (g) record/copy/redistribute Content or sessions without permission.

Outbound links are provided for convenience; we are not responsible for third-party content or policies. You may link to our home page and public course pages; deeper linking requires consent.
11. Privacy & Data Protection (Summary)
11.1 Roles. NWM is Controller for the Website and Services. For Organisation Customers, some activities may be (i) controller-to-controller sharing (e.g., named attendance), or (ii) processing under a DPA where NWM acts as Processor for specified purposes.
11.2 Categories & Sources. We process identifiers (name, email, role), course/attendance data, community metadata, device/usage data (via cookies/analytics), payment details (via payment providers), and optional wellbeing/reflection inputs you choose to provide.
11.3 Special Category Data. Wellbeing/reflection inputs may include health data. These are optional. Where collected, we rely on your explicit consent (UK GDPR Art. 9(2)(a)) and/or anonymise promptly for evaluation/impact reporting. Do not post third-party health or employment data.
11.4 Lawful Bases. We rely on contract (service delivery), legitimate interests (operate, secure and evaluate the service; prevent misuse; aggregated analytics), and consent (optional wellbeing/reflection data; appearing in recordings; marketing where required). You can withdraw consent at any time—this does not affect prior processing.
11.5 Sub-processors & Third Parties. We use vetted providers (e.g., LearnWorlds course hosting; Zoom/Microsoft Teams live sessions; Calendly booking; ActiveCampaign email; Stripe/Klarna payments; analytics/cookie tools detailed in our Cookie Policy). Each is under a contract with confidentiality, security and GDPR commitments. We maintain a current list of sub-processors in our Privacy Policy.
11.6 International Transfers. Where Personal Data is transferred outside the UK (e.g., to the EEA/US), we rely on adequacy regulations (including the UK-US Data Bridge), or appropriate safeguards such as the UK IDTA or UK Addendum to EU SCCs with supplementary measures as needed.
11.7 Security. We implement appropriate technical and organisational measures, including access controls, encryption in transit (and at rest where supported by providers), backups, least-privilege admin access and staff/contractor confidentiality obligations.
11.8 Data Subject Rights. You have rights of access, rectification, erasure, restriction, objection, and data portability (where applicable), and the right to withdraw consent. We respond within one month (extendable by two months for complex requests).
11.9 Retention. We keep Personal Data only as long as necessary for the stated purposes, typically for the duration of access plus up to 12 months, unless a longer period is required by law or contract (see Privacy Policy for detail).
11.10 Cookies & Tracking. We use cookies/SDKs for essential functions and analytics/experience. See our Cookie Policy (and cookie banner) for choices, including consent where required by PECR.
11.11 Breach Notification. We notify the ICO and affected Organisation Customers/individuals without undue delay where required by law. Organisation Customers will receive incident information sufficient for their own notifications.
11.12 Complaints. You may complain to the Information Commissioner’s Office (ICO) (www.ico.org.uk). We encourage contacting us first at contact@nursewellbeingmission.com
11.13 Further Information. The Privacy Policy forms part of these Terms and provides full details (data types, purposes, transfers, retention, sub-processors, and how to exercise rights).
12. Service Availability & Support
12.1 Services are provided on an “as is / as available” basis. We aim for high uptime but cannot guarantee uninterrupted service. Planned maintenance may occur.

. We aim to respond promptly but do not guarantee specific SLAs.
13. Disclaimers
13.1 We exercise reasonable skill and care but do not warrant specific outcomes (e.g., clinical, employment or academic results).
13.2 Content is educational; it is not medical, psychological, legal or financial advice. Seek appropriate professional advice when needed.
13.3 You are responsible for your device security and internet connection.
14. Liability
14.1 Nothing limits liability for death/personal injury caused by negligence, fraud/fraudulent misrepresentation, or other non-excludable liability.
14.2 Subject to 14.1, we are not liable for (a) indirect or consequential loss; (b) loss of profit/revenue/goodwill/data; (c) events beyond reasonable control; or (d) reliance on reflective content or peer comments.
14.3 Crisis Disclosures. We strive to act on disclosures of self-harm, suicidality or risk, but the platform is not continuously monitored; response times cannot be guaranteed. Use emergency services (999) in urgent situations.
14.4 Caps. Subject to 14.1:
for individual Participants: the greater of £500 or the total fees paid by that Participant in the 12 months before the claim;
for Organisation Customers: the greater of £10,000 or fees paid in the preceding 12 months, unless otherwise agreed in a signed Order/MSA.
15. Indemnities (Organisation Customers)
Each party indemnifies the other against third-party claims to the extent arising from its (a) IP infringement or (b) data protection breach, caused by that party’s breach of contract or law. Organisation Customers warrant a lawful basis to provide Participant details.
16. Changes to Services or Terms
We may update Services and these Terms for legal, security or operational reasons. Material changes will be notified by email or in-platform. Continued use after the effective date constitutes acceptance. Changes required by law apply immediately.
17. Termination; Data on Exit
17.1 We may suspend/terminate access for serious/repeated breach, safety risk or non-payment. On termination, licences end and access ceases.
17.2 Data Export/Deletion (Organisations). On request within 30 days of termination, and subject to payment of any reasonable fees, we will provide Organisation Customers with a copy of named participation data we hold as Processor (if any) in a common format, and then delete or anonymise it unless law requires retention. Our Privacy Policy explains residual backups and deletion windows.
18. Communications & Marketing
Service notices go to your registered email. Marketing emails are opt-in and include an unsubscribe link. Transactional messages (service, security, changes to Terms/Privacy) are not marketing and will still be sent.
19. Freedom of Information (FOIA)
NWM is not subject to FOIA. If an Organisation Customer receives a FOIA request that may involve NWM’s information, they will consult us to protect confidential and commercially sensitive information where permitted by law.

21. Third-Party Rights
No third party may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
22. No Waiver
Failure to exercise a right is not a waiver. A waiver must be in writing.
23. Severability
If any provision is invalid/unlawful/unenforceable, it is modified to the minimum extent to make it enforceable; if not possible, it is severed. The rest remains in force.
24. Governing Law & Jurisdiction
These Terms and any non-contractual obligations are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
25. Contract Formation (Individuals)
When you enrol in a free or paid Course, you place an order. We accept by sending a confirmation email, at which point a contract is formed on these Terms. Confirmations include Services, price and access details.
Schedule A – Acceptable Use & Community Standards (Summary)
Be respectful, inclusive and professional.
De-identify cases; no patient/colleague/employer identifiers; no confidential documents.
No harassment, hate speech, defamation, spam or advertising.
No recording/screenshotting or redistribution of Content/sessions.
Keep your login secure; do not attempt to access others’ data.

Schedule B – Consumer Cancellation (Summary)
14-day cooling-off for consumers unless digital services start within that period at your request.
Pro-rata deductions apply if you cancel after service commencement.
Refunds processed within 14 days of valid cancellation.
